- A contract is formed when the customer accepts an offer or a purchase order is confirmed.
- Availability: Dubidot aims for an annual average availability of 99%. Limitations due to technical or external factors may occur and do not entitle the customer to damages.
- Customers are responsible for securing their access credentials and preventing misuse.
- Invoices are payable immediately upon receipt without deductions.
- Recurring fees (e.g., monthly or annual) are billed in advance.
- Late Payment Interest: In case of default, interest of 5 percentage points above the base rate will be charged.
- Dubidot reserves the right to suspend services for overdue payments until full payment is received.
- Contracts are indefinite unless a minimum contract term is specified.
- Either party may terminate the agreement with 120 days’ notice at the end of a month, but not before the end of the agreed minimum term.
- Either party may terminate the contract without notice for good cause, such as repeated payment defaults or severe breaches of contract.
- Termination must be submitted in writing (via letter or email).
- Dubidot is liable for damages only in cases of intent, gross negligence, or breach of essential contractual obligations.
- In cases of slight negligence, liability is limited to foreseeable, typical damages, up to a maximum of the annual contract fee.
- Dubidot is not liable for indirect damages, consequential damages, or data loss unless caused by Dubidot.
- Personal data is processed in accordance with the privacy policy.
- Customers are responsible for regularly backing up their data.
- Upon contract termination, customers are solely responsible for securing their data, as Dubidot does not retain data after contract end.
- Swiss law applies.
- The place of jurisdiction for all disputes is Nesslau, Switzerland.
- If any provision of these T&C is invalid, the remaining provisions shall remain in effect.
